General Terms and Conditions (GTC)
1. Scope
These General Terms and Conditions (GTC) apply to all consulting services provided by the sole proprietorship JStaub, 6490 Andermatt, Switzerland ("Consultant"), unless otherwise agreed in writing.
2. Services
The Consultant provides advisory and project-related services as agreed individually with the client. The scope of services is defined in the written offer or contract.
3. Fees and Payment
Services are charged on the basis of the agreed daily rate, hourly rate or fixed fee. Unless otherwise stated, all prices are quoted in Swiss francs (CHF), exclusive of VAT (if applicable). Invoices are payable within 30 days of receipt.
4. Client Obligations
The client shall provide all necessary information and access in a timely manner to enable the Consultant to perform the services. The client is responsible for the correctness and completeness of the information provided.
5. Confidentiality
Both parties undertake to treat all non-public information exchanged in the course of the cooperation as strictly confidential. This obligation remains in force after the termination of the contract.
6. Intellectual Property
All work results and documents created by the Consultant remain the intellectual property of the Consultant, unless explicitly transferred to the client in writing. The client receives a non-exclusive, non-transferable right of use for the agreed purpose.
7. Liability
The Consultant is liable only for damages caused by intent or gross negligence. Liability for slight negligence, consequential damages or loss of profit is excluded to the extent permitted by law.
8. Termination
Both parties may terminate the contract in writing at any time with a 30-day notice period, unless otherwise agreed. Services already rendered up to the date of termination shall be remunerated.
9. Governing Law and Jurisdiction
Swiss substantive law applies, to the exclusion of conflict of law provisions. Place of jurisdiction is Andermatt, Canton Uri, Switzerland.
10. Final Provisions
If individual provisions of these GTC are or become invalid, the validity of the remaining provisions shall remain unaffected. Deviations or amendments must be made in writing.
